Terms & Conditions

At LevelUp, we’re proud to grow through trusted relationships, and we believe referrals deserve meaningful rewards. By participating in our referral program, you agree to the terms below. These Terms & Conditions form the full agreement between LevelUp and the referrer and are binding once participation begins.

1. Eligibility & Participation

Self-Referral Restriction

• You may not refer your own business, or any business in which you are the owner, co-owner, or direct decision-maker.

• Referrals made by employees or freelancers of a company may be accepted on a case-by-case basis, provided the referrer does not hold decision-making authority and the referral is made in good faith.

• LevelUp reserves the right to decline referral bonuses in cases where there is a conflict of interest or where the referral is not considered genuine.

2. How Referrals Work

• Submit a referral through our official form or via a warm intro to our team.
• The referral is considered valid if we are not already in contact with that company.
• If the referred company signs with us and meets the eligibility criteria, you become eligible for a referral bonus.

3. Payment Timing & Conditions

• Referrers will earn 7.5% of the referred client’s monthly fee, paid monthly, for up to 24 months, starting after the client has been active for 60 days.

• If the referred client adds additional seats within the first 3 months of signing their contract, the referrer will also earn 2.5% of the monthly fee for each of those additional seats — also paid monthly, and continuing for the remainder of the 24-month period.

• Bonuses are only paid if and when LevelUp has received payment from the client for the corresponding billing period.

• If a client pauses or cancels their engagement, payments to the referrer will also pause or cease accordingly.

• LevelUp reserves the right to review and confirm bonus calculations before any payouts are made.

4. Attribution Rules

• Only the first person to refer a client will receive the referral bonus.
• If multiple people refer the same company, attribution is based on the timestamp of the first valid submission.
• Referral submissions are valid for 90 days. If no contract is signed within that time, the referral expires.

5. Payment Conditions

• Referral bonuses are paid only after:
  • The client has been active for 60 days following onboarding.
  • The client’s invoice(s) have been paid in full.
• Bonuses are typically paid via bank transfer or an agreed-upon method.
• Please allow up to 30 days from eligibility for bonus processing.

6. Tax & Income Reporting

• Referral bonuses are considered personal income in most jurisdictions.
• You are solely responsible for:
  • Declaring the income to your local tax authority.
  • Paying any tax or reporting obligations associated with your bonus.
• LevelUp may be required to issue documentation (e.g. 1099 in the US) if your total bonuses exceed local reporting thresholds.

7. Right to Modify or Disqualify

LevelUp reserves the right to:

• Disqualify any referrals that breach the spirit or terms of this agreement.

• Reject referrals that appear to be made in bad faith or solely for financial gain.

• Modify or discontinue the referral program at any time, with or without notice.

• Withhold payment if the referral was not genuine or if a conflict of interest exists.

8. Fair Use Clause

This program is designed to reward genuine referrals. If your referral earnings reach a high level (e.g. ongoing large bonuses), we may request additional information to ensure compliance with legal, tax, and accounting requirements.
